Terms of Service - Social Shops OÜ

1. Introduction

‍These Terms of Service ('Terms') govern your use of the services provided by Social Shops OÜ ('Company', 'we', 'us', or 'our'). By entering into a partnership with us, you agree to these Terms. Social Shops operates within the European Union and is not a public marketplace or customer-facing platform. We work privately with influencers to build and manage e-commerce brands.

‍2. Eligibility

‍You must be at least 18 years old and legally able to enter into binding agreements. By entering into a partnership with Social Shops, you confirm that the information you provide is true and accurate. We reserve the right to refuse service at our sole discretion.

‍3. Services Provided

‍We offer an end-to-end e-commerce solution tailored for influencers, including:
- Custom-branded website creation
- Product development, including print-on-demand and custom manufacturing
- Full logistics, warehousing, packaging, and international fulfillment
- Customer support handling (inquiries, returns, disputes)
- Marketing tools and campaign support
- Strategy consultation and brand expansion planning
- Scheduled merch drops and launch coordination
- Influencer-dedicated dashboards and analytics reports
Our services are delivered according to your assigned service tier, based on follower count.

‍4. Pricing and Revenue Share

‍Our pricing model is tier-based:
- 0–100K followers: €199/month + 15% of store revenue + 30% of profits to Social Shops
- 100K–1M followers: €99/month + 12.5% of store revenue + 25% of profits to Social Shops
- 1M–5M followers: €0/month + 10% of store revenue + 20% of profits to Social Shops
- 5M+ followers: €0/month + 7.5% of store revenue + 15% of profits to Social Shops

We cover all costs related to product development, manufacturing, and fulfillment. You will receive automatic monthly payouts based on the agreed revenue and profit shares, in your preferred currency.

‍5. User Responsibilities

‍Influencers must:
- Provide accurate and updated personal and business information
- Approve or delegate approval of designs before launch
- Comply with all relevant legal and platform policies
You may not misrepresent your identity or use our services for illegal purposes.

‍6. Store Operations

‍Social Shops manages day-to-day operations including:
- Customer data (owned and managed by Social Shops)
- Fulfillment, returns, and customer support
- Store updates and maintenance—with influencer approval, unless agreed otherwise in writing.

‍7. Ownership and Termination

‍If the influencer or Social Shops chooses to end the partnership:
- The influencer's store will be permanently removed
- All brand designs, products, and assets created by Social Shops remain the property of Social Shops
- Social Shops may continue to use marketing materials or analytics from the partnership

‍8. Intellectual Property

‍Social Shops owns all materials it creates, including website designs, product graphics, and marketing assets, unless otherwise agreed in writing. Influencers may not reuse or distribute these assets outside of the Social Shops ecosystem.

‍9. Refunds and Returns

‍Influencers may set custom return and refund policies for their stores. Social Shops will actively assist in managing returns, customer disputes, and complaints on your behalf. We work to ensure fair outcomes, efficient processing, and high customer satisfaction.

‍10. Payment Terms

‍Earnings are calculated monthly and paid automatically in your preferred currency. We provide full transparency and access to performance metrics and payment history. Influencers are responsible for meeting any local tax reporting obligations in their country of residence.

‍11. Limitation of Liability

‍To the fullest extent allowed by law, Social Shops shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities. We make no guarantees of commercial success from any store launched under our services.

‍12. Indemnification

‍You agree to indemnify and hold harmless Social Shops OÜ from any claims, damages, or liabilities resulting from:
- Your use of our services
- Legal or regulatory issues related to your brand
- Any breach of intellectual property or third-party rights

‍13. Dispute Resolution

‍All disputes must first be resolved through informal negotiation. If unresolved, the matter will proceed to binding arbitration under EU law. The arbitration location may be decided mutually.

‍14. Modifications to These Terms

‍We may revise these Terms at any time. You will be notified of any material changes via email or written notice. Continued use of our services after notification implies your acceptance of the updated Terms.
